1. Acceptance of Terms

By accessing or using the services provided by Floggats Technology ("we," "our," or "us"), including our website, managed IT services, cloud solutions, and professional consulting, you agree to comply with and be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our services.

2. Description of Services

Floggats Technology provides enterprise-grade IT solutions, managed services (MSP), cloud infrastructure planning, cybersecurity, and related professional services. The specific scope, deliverables, and service level agreements (SLAs) will be outlined in individual Master Service Agreements (MSAs) or Statements of Work (SOWs) executed between Floggats Technology and the client.

3. User Obligations

As a user of our services, you agree to:

• Provide accurate, current, and complete information when engaging with our team.
• Maintain the confidentiality of any account credentials or secure access tokens provided by us.
• Use our services only for lawful purposes and in accordance with all applicable local, state, national, and international laws.
• Not attempt to gain unauthorized access to our systems, infrastructure, or the accounts of other clients.

4. Intellectual Property Rights

All content, materials, methodologies, software, and intellectual property provided by Floggats Technology remain our exclusive property or the property of our licensors. You are granted a limited, non-exclusive, non-transferable license to use the deliverables provided to you solely for your internal business operations, subject to full payment of all applicable fees.

5. Warranty Disclaimers

Except as expressly provided in a separate written agreement (such as an SLA), our services are provided on an "as is" and "as available" basis. Floggats Technology makes no representations or warranties of any kind, express or implied, as to the operation of our services or the information, content, or materials included therein. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Floggats Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use our services.
• Any conduct or content of any third party on the services.
• Any unauthorized access, use, or alteration of your transmissions or content.

In no event shall our aggregate liability exceed the total amount paid by you to Floggats Technology for the specific services giving rise to the claim during the twelve (12) months immediately preceding the event causing the liability.

7. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service. Upon termination, your right to use the services will immediately cease.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Arizona.
